Implementing the 101st article of the Commercial Code amendment and the 22nd article of the Statute, following positions were assigned: • Ali Sanati as Cahirman • Mr. Jafar Sanati and Mr. Hossein Naghizadeh as supervisors. • Mr. Saeed Sanati as meeting secretary. Following accepting positions and confirming the legal quorum of meeting and formalize the meeting by the chairman, the minutes and also the board of directors' report about capital increasing, and confirmation of legal inspector were read to audience by the secretary. Afterwards, according to Tehran Stock Exchange's confirmation and supplementary explanation of the chairman, the below mentioned items were ratified at the meeting gaining majority of votes: 1. Capital increasing: the company's capital increasing from IRRial54 milliard to IRRial81 milliard were approved to be provided from collected debts and stockholders' cash profits. 2. In order to make the ratified capital creasing effective, the following items were approved: 2- 1- The Board of Directors was authorized to take necessary measures for reach mentioned goal via defining the subscription time limit and implementing other related issues. 2- 2- The Board of Directors is permitted to collect unused priorities and probable fragmented stocks, offer them to the public via Tehran Stock Exchange after gaining relevant licenses observing the company's benefits, and also take the sales net profit to the stockholders' credit account after deducting the costs and considering nominal stocks' amount. 2- 3- According to Commercial Code content, the authorization of capital increasing after termination of priorities usage time limit or selling them by stockholders, was devolved to Board of Directors. 2- 4- The Board of Director was authorized to amend the 5th article of Statute, after capital increasing, and also Mr. Saeed Sanati was signed as attorney with the right of substitution to take necessary measures of capital increasing registration at corporation registration agents and signing the documents. The meeting was finished at 12:00 O'clock.

Implementing act of above mentioned meeting related to distributing each stock’s dividends at 200 Rls., according to the Tehran Stock Exchange Organization’s regulations, the dividends will be deposited via the banking systems as below mentioned schedule.
