Implementing the 101st article of the Commercial Code amendment and the 22nd article of the memorandum of association following positions were assigned: • MR.Ali Sanati as Cahirman • Mr. Mohamad Sanati and Mr. Hossein Naghizadeh as supervisors. • Mr. Saeed Sanati as meeting secretary. Following accepting positions and confirming the legal quorum of meeting by the chairman and reading of the Agenda by the Secretary and listening to the Board's report about capital increase, and aslo reporting ot the legal inspector confirming the company capital increase, approved by Tehran Stock Exchange, after supplementary explanation by the chairman and discussions made, following items were ratified by the Assembly with majority of votes: mentioned items were ratified at the meeting gaining majority of votes: 1. Capital increasing: the company's capital increasing from IRRial81 bilion to IRRial243 were approved to be provided 17.000 million Rials by Retained Earning, 18.500 Rials by Reserves and 126.500 Rials by Receivables and cash contributions. 2. The board was autorization of the approved capital increase ratified following articles: 2- 1- The Board was authorized to make necessary steps for materializing the ratified capital increase including determining subscription deadline etc. 2- 2- The Board is permitted to collect unued priorities and probable fragmented stocks offer them to the public through Tehran Stock Exchange, after gaining relevant licenses oobserving the company's benefits, and also deposit the sales net profit to the stockholders' credit account after deducting the costs and depositing nominal stocks' amount. 2- 3- According to Commercial Code content, the authorization of capital increase was delegated to the Board. 2- 4- The Board, after materialization of the capital increase, was authorized to amend 5th article of the memorandum of association. For registration of the capital increase circumstances in the companies Registration Office and for signing of corresponding books Mr. Saeed Sanati was assigned as atttorney with no right of substitution to make the necessary steps.

In order to make the ratified capital creasing effective, the following items were approved: 2- 1- The Board of Directors was authorized to take necessary measures for reach mentioned goal via defining the subscription time limit and implementing other related issues. 2- 2- The Board of Directors is permitted to collect unused priorities and probable fragmented stocks, offer them to the public via Tehran Stock Exchange after gaining relevant licenses observing the company's benefits, and also take the sales net profit to the stockholders' credit account after deducting the costs and considering nominal stocks' amount. 2- 3- According to Commercial Code content, the authorization of capital increasing after termination of priorities usage time limit or selling them by stockholders, was devolved to Board of Directors. 2- 4- The Board of Director was authorized to amend the 5th article of Statute, after capital increasing, and also Mr. Saeed Sanati was signed as attorney with the right of substitution to take necessary measures of capital increasing registration at corporation registration agents and signing the documents.
